Terms & conditions

The agreement between you and us.

1. Who these terms are with

These terms are between you (the “Client”) and UHIY Tech Solutions, a trading name of YOUR FULL NAME, a sole trader established in the United Kingdom and trading from BUSINESS ADDRESS (“we”, “us”). They apply from the date you first pay for or start using the services.

These terms are written for business customers. Nothing in them is intended to limit rights you have as a consumer if you contract with us other than in the course of a business.

2. The services

We provide website design, hosting and maintenance, and access to a hosted marketing platform, according to the plan you select. What each plan includes is described on our pricing page and in your order confirmation.

We may improve or change platform features from time to time. We will not materially reduce the core functionality of your plan without giving you reasonable notice.

3. Term, billing and cancellation

  • Subscriptions are rolling monthly with no minimum term unless your order says otherwise.
  • Fees are billed monthly or annually in advance by Direct Debit or card.
  • Either party may cancel on 30 days’ written notice, effective at the end of the notice period.
  • Annual plans are paid up front. If you cancel mid-term we will not refund the unused portion unless we are in material breach.
  • We may suspend the services if an invoice is more than 14 days overdue, after telling you first.
  • We may increase fees on 30 days’ notice. If you do not accept an increase you may cancel before it takes effect.

4. What happens when the contract ends

Your domain name remains yours throughout and we will assist with transferring it away. On request within 30 days of termination we will export your contact data and your website content and provide it to you in a common format.

The hosted website, phone number, automations and platform access are provided as part of the subscription and will cease at the end of the notice period. Numbers we have issued cannot always be ported; we will tell you what is possible in your case.

5. Your responsibilities

  • Provide accurate information and the materials we need to build and run the services.
  • Make sure you own or are licensed to use any content, logos or images you give us.
  • Use the platform lawfully, including complying with UK GDPR, PECR and any regulator that applies to your sector.
  • Obtain valid consent before sending marketing messages, and never send anything unlawful, misleading or abusive.
  • Keep your login credentials secure and tell us promptly about any unauthorised access.

We may suspend the services immediately if they are being used in a way that is unlawful or that puts our platform or other clients at risk.

6. Intellectual property

You keep ownership of your brand, your content and any materials you supply, and you grant us the licence we need to use them to deliver the services.

We retain ownership of our platform, our templates, our underlying code and any tooling we develop. Nothing in these terms transfers ownership of those to you.

7. Fair usage

Calls, texts and emails are included up to 500 texts and 500 outbound minutes per month, an allowance appropriate to a small business. If your usage materially exceeds that we will contact you to agree a usage rate rather than apply unexpected charges.

Unlimited content edits means changes to the content of your existing pages, normally actioned within two working days. New pages, structural redesigns and additional websites are quoted separately.

8. Data protection

Each party will comply with applicable data protection law. Where we process personal data on your behalf we do so as your processor under our data processing agreement, which forms part of these terms. See also our privacy policy.

9. Service levels and availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be notified in advance where practical. We are not responsible for outages caused by third parties outside our control, including hosting providers, telecoms carriers, Google or Meta.

10. No guarantee of results

We do not guarantee any particular search ranking, number of enquiries, or level of sales. Search engine results and advertising platforms are controlled by third parties whose algorithms and policies change without notice. Any figures we discuss are illustrative.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, neither party is liable for loss of profit, loss of business, loss of anticipated savings or indirect or consequential loss. Our total liability arising in any twelve-month period is limited to the fees you paid us in that period.

12. General

We may update these terms on 30 days’ notice. If a change materially disadvantages you, you may cancel before it takes effect. These terms are the entire agreement between us and are governed by the laws of England and Wales, with the courts of England and Wales having exclusive jurisdiction.
